Welcome to TakeOut Pantry. These Terms & Conditions (“Terms”) govern your access to and use of the TakeOut Pantry website, mobile applications, online forms, waitlists, marketplace, communications, and related services operated by Take Out Pantry Inc. (“TakeOut Pantry,” “we,” “us,” or “our”).

By accessing or using our website, mobile applications, marketplace, forms, or services, you agree to these Terms. If you do not agree to these Terms, please do not use our services.

2. About TakeOut Pantry

TakeOut Pantry is a technology marketplace designed to connect customers with local home cooks and food providers. Through our website and mobile applications, users may discover local food options, join waitlists, receive launch updates, suggest neighborhoods, apply to become cooks, browse menus, place orders, coordinate pickup or delivery, and communicate with TakeOut Pantry or participating marketplace users.

TakeOut Pantry may operate in selected locations and may expand service areas over time. Availability of services, meals, cooks, delivery, pickup, app features, and promotions may vary by location.

3. Eligibility

You must be at least 18 years old to create an account, place orders, apply to become a cook, or use services that require registration.

By using TakeOut Pantry, you represent that:

* You are at least 18 years old;
* You have the legal authority to agree to these Terms;
* The information you provide is accurate and complete;
* You will comply with all applicable laws, regulations, and these Terms.

If you use TakeOut Pantry on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.

4. Accounts and Registration

Some features may require you to create an account or provide personal information, such as your name, email address, phone number, location, delivery or pickup details, payment information, or other information.

You agree to:

* Provide accurate and current information;
* Keep your account login credentials secure;
* Notify us if you suspect unauthorized access to your account;
* Be responsible for activity that occurs through your account.

We may suspend, restrict, or terminate your account if we believe you have violated these Terms, provided false information, misused our services, or created risk for TakeOut Pantry, users, cooks, customers, or the public.

5. Marketplace Role

TakeOut Pantry operates as a technology marketplace. We may provide tools that allow customers, cooks, delivery partners, and support staff to communicate, coordinate orders, process payments, and manage marketplace activity.

Unless otherwise stated, TakeOut Pantry does not directly prepare all food items listed by marketplace participants. Food items may be prepared by independent cooks or food providers who are responsible for the accuracy of their menus, food preparation, availability, compliance, quality, and fulfillment.

TakeOut Pantry may review, approve, restrict, remove, or suspend marketplace participants or listings at our discretion, including for safety, compliance, quality, fraud prevention, customer experience, or business reasons.

6. Customer Responsibilities

As a customer or food buyer, you agree to:

* Provide accurate order, pickup, delivery, and contact information;
* Review meal details, ingredients, allergen information, pickup/delivery terms, and pricing before placing an order;
* Communicate respectfully with cooks, delivery partners, and TakeOut Pantry support;
* Pay all applicable charges, fees, taxes, and tips associated with your order;
* Use the services only for lawful and personal purposes unless otherwise authorized.

You understand that availability of meals, delivery, pickup, app access, cook participation, and service areas may change at any time.

7. Cook Responsibilities

If you apply to become or operate as a cook or food provider on TakeOut Pantry, you agree to:

* Provide accurate application, identity, contact, menu, availability, and kitchen-related information;
* Comply with all applicable laws, regulations, health codes, licensing requirements, food safety requirements, cottage food laws, tax obligations, and local rules that apply to your food preparation and sales activity;
* Prepare food safely, honestly, and according to applicable standards;
* Provide accurate menu descriptions, pricing, photos, portion information, pickup/delivery availability, ingredients, and allergen disclosures;
* Maintain clean and safe food preparation practices;
* Fulfill accepted orders in a timely and professional manner;
* Communicate respectfully with customers, support staff, and marketplace participants;
* Accept responsibility for your listings, food quality, fulfillment, and compliance obligations.

TakeOut Pantry may require verification, onboarding, training, documentation, or approval before allowing a cook to list or sell through the marketplace. We may approve, reject, suspend, or remove cooks at our discretion.

8. Food Safety, Allergens, and Dietary Information

Food sold or offered through TakeOut Pantry may contain allergens or be prepared in environments where allergens are present, including but not limited to milk, eggs, fish, shellfish, tree nuts, peanuts, wheat, soy, sesame, gluten, and other ingredients.

Customers are responsible for reviewing meal descriptions, ingredient information, allergen disclosures, and communicating any dietary concerns before placing an order.

Cooks and food providers are responsible for providing accurate ingredient, allergen, and preparation information. However, TakeOut Pantry does not guarantee that food items will be free from allergens, cross-contact, or ingredient variations.

If you have a severe allergy, medical condition, or dietary restriction, you should exercise caution and contact the cook or TakeOut Pantry support before placing an order.

9. Orders, Availability, and Fulfillment

Orders may be subject to acceptance, availability, cook capacity, service area limitations, pickup/delivery availability, payment authorization, and marketplace conditions.

We may cancel, decline, modify, or refund an order when necessary, including due to:

* Meal unavailability;
* Cook availability changes;
* Payment issues;
* Safety or compliance concerns;
* Suspected fraud or misuse;
* Incorrect pricing or listing errors;
* Service disruption;
* Delivery or pickup limitations.

Order timing, pickup windows, and delivery estimates are estimates only and are not guaranteed.

10. Pricing, Fees, Taxes, and Payments

Prices, fees, taxes, delivery charges, service charges, tips, promotions, and discounts may vary and may change at any time.

You agree to pay all charges shown at checkout or otherwise accepted by you. Payments may be processed by third-party payment processors. By submitting payment information, you authorize TakeOut Pantry or its payment processor to charge the applicable amount.

TakeOut Pantry is not responsible for fees charged by your bank, card issuer, mobile carrier, app store, or payment provider.

11. Refunds, Credits, and Cancellations

Refunds, credits, cancellations, and adjustments may be handled according to TakeOut Pantry policies, marketplace rules, order status, cook availability, payment status, and applicable law.

We may provide refunds or credits at our discretion, including where an order is cancelled, cannot be fulfilled, contains an error, or results in a verified support issue.

Certain fees may be non-refundable unless required by law.

12. Promotions and Early-Bird Offers

TakeOut Pantry may offer promotions, discounts, early-bird pricing, referral offers, app launch offers, or other incentives.

Promotions may be subject to additional terms, expiration dates, location limits, eligibility requirements, usage limits, and availability. We may modify, suspend, or cancel promotions at any time.

Promotional offers have no cash value unless expressly stated.

13. Waitlists and Launch Notifications

Users may join waitlists, request app updates, suggest neighborhoods, or request launch notifications.

Joining a waitlist does not guarantee service availability, app access, early-bird pricing, specific cooks, delivery availability, pickup availability, or eligibility for promotions.

We may use the contact information you provide to communicate with you about launch status, area availability, app updates, early access, cook opportunities, and related service updates, subject to your communication preferences and applicable law.

14. SMS/Text Messaging Terms

By providing your phone number and opting in to receive text messages from TakeOut Pantry, you agree to receive SMS or text messages from TakeOut Pantry at the phone number you provided.

SMS messages may include:

* Waitlist confirmations;
* App launch updates;
* Neighborhood availability updates;
* Account notifications;
* Order updates;
* Delivery or pickup updates;
* Cook application updates;
* Customer support messages;
* Service-related notifications;
* Promotional offers, discounts, early-bird pricing, or marketing messages, only where permitted and where you have opted in.

Message frequency may vary. Message and data rates may apply.

You may opt out of SMS messages at any time by replying STOP to any message you receive from us. After you reply STOP, we may send one final confirmation message to confirm that you have been unsubscribed.

Consent to receive SMS marketing messages is not a condition of purchase. You may use TakeOut Pantry services without consenting to marketing text messages, where technically available and legally required.

Wireless carriers are not liable for delayed or undelivered messages.

Message and data rates may apply for messages sent to you from us and to us from you. For questions about your text or data plan, contact your wireless provider.

15. Email Communications

By providing your email address, you agree that TakeOut Pantry may send you transactional, service-related, account-related, order-related, waitlist-related, cook application-related, support-related, or marketing emails.

You may unsubscribe from marketing emails by using the unsubscribe link in the email or by contacting us at art@takeoutpantry.com.

Even if you unsubscribe from marketing emails, we may still send you transactional or service-related emails, including order updates, account notices, customer support responses, safety notices, legal notices, or important service updates.

16. App Store and Mobile App Terms

If you download or use a TakeOut Pantry mobile application through the Apple App Store, Google Play Store, or another app marketplace, your use may also be subject to the terms, conditions, and policies of that app marketplace.

App features, availability, compatibility, notifications, and performance may vary based on your device, operating system, app version, location, and network connection.

You are responsible for maintaining a compatible device, internet connection, and any fees charged by your mobile carrier or app marketplace.

17. User Content

You may be able to submit content through TakeOut Pantry, including reviews, ratings, messages, photos, menu information, meal descriptions, cook profiles, feedback, neighborhood suggestions, support requests, or other content.

You retain ownership of your content, but you grant TakeOut Pantry a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, host, store, reproduce, modify, display, publish, distribute, and create derivative works from your content for purposes related to operating, improving, promoting, and providing our services.

You agree not to submit content that is:

* False, misleading, or deceptive;
* Infringing or unauthorized;
* Harassing, abusive, hateful, obscene, or threatening;
* Illegal or promoting illegal activity;
* Unsafe, harmful, or defamatory;
* Spam or unauthorized advertising;
* Violating another person’s privacy or rights.

We may remove or restrict content at our discretion.

18. Reviews and Ratings

Reviews and ratings should be honest, accurate, and based on actual marketplace experiences.

We may moderate, remove, or restrict reviews that violate these Terms, appear fraudulent, contain inappropriate content, or are unrelated to a genuine experience.

We do not guarantee the accuracy of user reviews or ratings.

19. Prohibited Uses

You agree not to:

* Use TakeOut Pantry for unlawful, harmful, fraudulent, or abusive purposes;
* Misrepresent your identity, affiliation, location, food offerings, or qualifications;
* Interfere with marketplace operations;
* Scrape, copy, reverse engineer, or misuse our website, app, systems, or data;
* Attempt unauthorized access to accounts, systems, or networks;
* Upload malware, viruses, or harmful code;
* Harass, threaten, abuse, or discriminate against other users;
* Circumvent fees, payment processes, safety checks, verification, or platform rules;
* Use TakeOut Pantry to sell prohibited, unsafe, illegal, or misrepresented food items;
* Violate applicable food safety, tax, health, licensing, or consumer protection laws.

20. Intellectual Property

The TakeOut Pantry name, logo, website, app, design, software, text, graphics, icons, images, branding, features, and content are owned by TakeOut Pantry or its licensors and are protected by intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, sell, license, or exploit any TakeOut Pantry intellectual property without our prior written permission.

21. Third-Party Services and Links

TakeOut Pantry may integrate with or link to third-party services, including payment processors, app stores, analytics providers, advertising platforms, SMS providers, email providers, maps, delivery tools, or other websites and platforms.

We are not responsible for the content, privacy practices, terms, availability, security, or performance of third-party services.

Your use of third-party services may be subject to separate terms and privacy policies.

22. Privacy

Your use of TakeOut Pantry is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect personal information.

23. Disclaimers

TakeOut Pantry services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, TakeOut Pantry disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, reliability, and uninterrupted service.

We do not guarantee that:

* The website or app will always be available, secure, or error-free;
* Meals, cooks, orders, delivery, pickup, or service areas will always be available;
* Marketplace listings, descriptions, reviews, or availability will always be accurate;
* Food items will meet every expectation, dietary preference, or allergen requirement;
* Any specific launch date, neighborhood availability, promotion, or early access will be provided.

24. Limitation of Liability

To the fullest extent permitted by law, TakeOut Pantry and its officers, directors, employees, contractors, agents, service providers, affiliates, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, service interruption, or loss of goodwill.

To the fullest extent permitted by law, our total liability for any claim arising out of or related to these Terms or your use of TakeOut Pantry will not exceed the amount you paid to TakeOut Pantry for the specific transaction giving rise to the claim, or one hundred dollars ($100), whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

25. Indemnification

You agree to defend, indemnify, and hold harmless TakeOut Pantry and its officers, directors, employees, contractors, agents, service providers, affiliates, and representatives from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

* Your use of TakeOut Pantry;
* Your violation of these Terms;
* Your violation of applicable law;
* Your content or submissions;
* Your food listings, preparation, fulfillment, or marketplace activity;
* Your violation of another person’s rights;
* Your fraud, negligence, misconduct, or misuse of our services.

26. Suspension and Termination

We may suspend, restrict, or terminate your access to TakeOut Pantry at any time if we believe you have violated these Terms, created risk, provided false information, engaged in fraud or abuse, violated applicable law, or harmed the marketplace experience.

You may stop using TakeOut Pantry at any time.

Certain provisions of these Terms will survive termination, including provisions related to intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and governing law.

27. Changes to Services

We may modify, suspend, discontinue, or limit any part of TakeOut Pantry at any time, including website features, app features, marketplace availability, service areas, promotions, pricing, cook participation, ordering options, delivery options, pickup options, or communication channels.

We are not liable for any modification, suspension, or discontinuation of services.

28. Changes to These Terms

We may update these Terms from time to time. When we update them, we will revise the “Last Updated” date above.

Your continued use of TakeOut Pantry after updated Terms are posted means you accept the updated Terms.

If you do not agree to the updated Terms, you should stop using our services.

29. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

30. Dispute Resolution

Before filing a claim, you agree to contact TakeOut Pantry at art@takeoutpantry.com and attempt to resolve the dispute informally.

If we cannot resolve the dispute informally, any dispute arising out of or related to these Terms or your use of TakeOut Pantry will be handled in accordance with applicable law and, where permitted, in the state or federal courts located in Florida.

31. Force Majeure

TakeOut Pantry will not be liable for delays, failures, interruptions, or inability to perform due to causes beyond our reasonable control, including natural disasters, severe weather, power outages, internet failures, labor disputes, government actions, public health emergencies, supply issues, app store issues, carrier issues, payment processor issues, or third-party service disruptions.

32. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

33. Entire Agreement

These Terms, together with our Privacy Policy and any additional policies or terms presented to you, form the entire agreement between you and TakeOut Pantry regarding your use of our services.
